Both of those CPUs will fit in your motherboard since it allows 939 pin (which is what the second processor is). You know, I'd just go with the first one since it's $100 cheaper and I don't think you'll notice any difference. Those chips are pretty much identical. Well you can use any type of DDR ram in that motherboard. Just make sure you look around and make sure certain rom modules are fully compatible with your motherboard, sometimes they aren't.
